TFmedia Database

TFmedia Database includes Canadian technology financings and related information from 2001 onwards. TFmedia reserves the right to add or delete TFmedia Database content at any time.

Scope of License

License. TFmedia hereby grants the subscriber a limited, non-exclusive, non-transferable license to access TFmedia Database, solely for its own internal business purposes, all in accordance with the terms and conditions set forth herein. TFmedia hereby retains all rights not specifically granted to the subscriber.

Subscription use restrictions. The subscription includes authorization of online access to TFmedia Database by authorized users. Access to TFmedia Database is controlled through the use of IP addresses, in addition to userid and password. The subscriber shall cooperate with TFmedia in the implementation of additional security procedures as they are developed.

The subscription is licensed on per user basis. User account sharing is strictly prohibited.

User account transfer. Under certain circumstances, user account transferable is permitted. The subscriber must in writing inform TFmedia and request such a transfer. TFmedia reserves the right to disapprove such a transfer and to terminate the user account at its sole discretion.

Unauthorized use. The subscriber is solely responsible for all security, and all use (including unauthorized use), of the subscriber's individual userid and password. The subscriber shall promptly inform TFmedia if there is breach or misuse of the access by any individuals. Lending access to other persons is strictly prohibited.

Refund Policy

As our subscription is a service, all subscriptions are final and refunds are not granted.

Copyright

TFmedia Database contents are subject to copyright, database protection, and other rights under the laws of Canada and the country of use.

The subscriber specifically acknowledges TFmedia's rights to immediate injunctive relief and to seek compensation from any pecuniary and no-pecuniary damages due to any infringement.

The subscriber acknowledges that it has no claim to ownership by reason of its use of or access to TFmedia Database. Downloading of data is permitted solely for user's internal use. Recompiling, publication, republication or replication of the data, or any portion thereof, in any form or medium whatsoever is strictly prohibited.

Suspension or Termination of Access

TFmedia reserves the right to suspend and/or terminate access to TFmedia Database without prior notice if subscriber violates any term of this Agreement. Any use of TFmedia Database beyond the scope of the License or any fraudulent, abusive, or otherwise illegal activities may be grounds for termination of access. TFmedia reserves the right to seek compensation from fraudulent, or illegal use of TFmedia Database. The foregoing includes but is not limited to activity that may burden TFmedia's server(s), such as computer programs that automatically download content, commonly known as robots, spiders, crawlers, wanderers or accelerators.

Disclaimer of Warranties

TFmedia has made and will make good faith efforts to ensure that TFmedia Database contents are complete and accurate. However, TFmedia Database is provided on an "as is" and "as available" basis, TFmedia does not warrant completeness or accuracy, and does not warrant that the use of TFmedia Database will be uninterrupted or error-free, or that the results obtained will be useful or will satisfy the subscriber's requirements.

TFmedia warrants that it is entitled to grant the licenses outlined in this Agreement, but makes no other warranties or representations of any kind, expressed or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

The authorized user is permitted to access TFmedia Database at any time from the designated IP address. TFmedia will not be liable for any delay, down time, or other failure of performance, but will use reasonable efforts to correct any performance problem brought to its attention.

TFmedia will not be responsible for incidental, consequential, or any other damages arising out of or in connection with the service or materials provided hereunder.

The subscriber assumes the sole responsibility for all use of TFmedia Database or website and agrees to indemnify and hold TFmedia harmless from any liability or claim of any person arising from such use.

General

This Agreement is governed by the laws of the Province of Ontario and the laws of Canada therein. Any action arising out of or relating to this Agreement or TFmedia may be brought in courts situated in the Province of Ontario, and the parties consent to the jurisdiction of such courts.

Acknowledgement

By subscribing to TFmedia Corporation's Premium and/or Lite subscription, you, the subscriber, are stating and acknowledging that you have read the aforementioned terms and conditions and that you understands such terms and conditions and agrees to be bound by them.

TFmedia Corporation reserves the right, at our discretion, to change, modify, add, or remove portions of these terms at any time. Please check these terms periodically for changes. Your continued use of our service following the posting of changes to these terms will mean you accept those changes.
